Terms of Service

These Terms of Service ("Terms") govern your use of the VentES platform, website, and applications (collectively, the "Services") operated by VentES ("VentES," "we," "our," or "us"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old to use the Services. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@ventes.group of any unauthorized use. You must provide accurate information when creating an account and keep it up to date.

3. Subscriptions and payment

  • Some applications in the VentES ecosystem require a paid subscription. Pricing and billing cycles are presented at the point of purchase.
  • Subscriptions automatically continue at the chosen billing cycle until cancelled. You may cancel at any time from your account dashboard; cancellation takes effect at the end of the current billing period.
  • Payments are processed through our third-party payment provider. By completing a payment, you authorize the charge for the applicable subscription fee.
  • Fees are non-refundable except where required by law or expressly stated otherwise.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose.
  • Attempt to gain unauthorized access to the Services, other accounts, or related systems.
  • Probe, scan, or test vulnerabilities of the Services without our prior written permission.
  • Reverse-engineer, decompile, or attempt to derive source code except where permitted by law.
  • Upload or transmit malware, spam, or content that infringes others' rights.
  • Use the Services to harass, defame, or harm any person.
  • Resell or redistribute the Services without our prior written consent.

5. Your content

You retain ownership of content you upload, create, or store within the Services ("Your Content"). You grant VentES a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display Your Content solely as necessary to provide the Services. You are responsible for ensuring Your Content does not violate any law or third-party rights.

6. Organizations and team access

When you create or join an organization, the organization owner controls the organization's data, billing, and member access. Members may have access to data scoped to that organization based on their role (Owner, Admin, Member). Removing a member terminates their access to organization-scoped data.

7. Intellectual property

The Services, including all software, designs, branding, and documentation, are the property of VentES and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. No other rights are granted by implication.

8. Third-party services

The Services may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of those services. Your use of third-party services is governed by their own terms.

9. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Services are provided "as is" and we may modify, suspend, or discontinue features at any time. Where reasonably possible we'll provide advance notice of material changes that adversely affect paying customers.

10. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms or for legitimate business reasons, with reasonable notice except in cases of serious breach. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (e.g., ownership, indemnity, limitation of liability) will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENTES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless VentES and its officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or your misuse of the Services.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through the Services or by email; continued use after the effective date of an update constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which VentES operates, without regard to conflict-of-law principles. The specific jurisdiction will be confirmed during legal review of these Terms.
